A sad addition to this story is that one of the first abusers of backdated stock options is Microsoft. It is their accounting firm that provided a list of clients to the feds who they knew also back dated stock options. However, because Microsoft restated its financial statements to disclose the practice, a clock may have started that owing to a statute of limitations means that Balmer and Gates may never be prosecuted.

Lets assume you are CEO of a tech company. You need talent and that talent has just been offered a job at Microsoft where he/she has learned about back dated stock options. What are you going to do? Are you not going to be enticed to match the offer, and join the club of wrong doers. Now lets say you check with you legals and accounts and they are of the opinion that if Microsoft can do it so can you.

This kind of thing happens with tax avoidance schemes as well. It does not happen in transparent organizations who do not foster a culture of silence.
