Are both companies feeling a threat from some third party?

I would think so. Low cost Linux commodity machines becoming the standard in corporations are getting closer to destroying both franchises. The need to stop squabbling and focus their R&D on big problems and let the OSS community pick up the chaff. Don't expect Office to remain the cash cow it used to be ... even MS has to know this!

2 billions are a lot of money and I'm wondering if it was worth it, since Sun had only a 1 billion claim in it's suit!

Don't forget the royalties. Both companies agreed to pay royalties to the other for the use of their technology. Imagine if MS ported the J2EE stack to C# and made it part of the .NET environment. Overnight MS would be a viable Enterprise development platform and Sun would have a huge channel for SW technology.


They talked about patent issues, but nobody was aware of them

Sun is one of the premier R&D shops in the industry. Crap on Solaris if you want but Sun HW is in a class above the PD architecture. Sun could help MS redefine the legacy PC to be the next generation platform. MS can work with Sun or let Walmart do it for them ... pretty smart for MS to try to get Sun onside and push the "I'm taking my ball and leaving" playground bully stuff into history.

Sun can bring MS into big iron computing which is alot more attractive than MS bringing Sun into high priced desktop segments of the industry - those are basically already Sun's business anyway. And MS already realizes Sun is making headway in the low cost desktop segement ... time for a truce!
