The CEO works for the board
Or that is the way it's supposed to work. The directors are the ones who are supposed to be in charge of the company. So, if the chairman of the board of a large corporation does something this monumentally stupid, she should be publicly censured, even if she isn't the CEO; after all, technically, she is the CEO's boss. That being the case, assuming that Hurd had nothing to do with this, he would be justified in making the chairman's resignation the price for his remaining on the job.

Mind you, I have nothing against the chairman of a corporate board ordering an investigation into alleged leaks by one or more of her colleagues (it is the job of any presiding officer to enforce the rules); it's the specific techniques used that are questionable, not the fact that the investigation took place.
