The problem can be summed up easily
From various articles around the web:

NTP Inc., the U.S. patent holding company.

...patent holding firm NTP.

NTP--a small patent-holding company in Arlington, Va.

************

The problem is scumbag lawyers that "build companies" with a business model consisting of nothing but buying up every patent they can find and then suing anyone who even looks in their direction.

And the government offices and legal system that allows this sort of BS to continue is just as much at fault as the scumbags running the patent squatting "companies".
