Yes, the brand counts for a great deal.
If Borland doesn't sell the name with the tools, who's going to buy a product being dropped because it's unprofitable?

If another company can get the Borland name with the software, that other company can follow the strategy you discuss, and have a good chance to make a profit, as one product line among others, with the resources of a larger company available.

I suspect, for no better reason than that it makes sense, Borland doesn't have enough cash to become profitable.
