It appears to this reader that MS knew a couple of things:

1) the 10 board seats would be up for grabs and that would be their contingency plan to fill those seats should their low bid offer fail.
2) the offer that MS proposed was too low and they knew that Yahoo would not accept.

Wanna bet that Google might put some pressure to get those seats as well?
