The big problem for MS is that the switch to Linux will be slow, painful,
and publicly embarrassing. And, it will give Google time extend their lead in data centers, search, online applications, etc.

Now, on the positive side, MS could make Yahoo so that for advanced features and the best experience, you need Windows. They can also do Office and OOXML tie-ins. All helping create lock-in for Windows and Office. This might or might not be successful, and might draw some antitrust concern.

On Google's side, they would like for the deal to go through, but, cause maximum pain and embarrassment for MS in the process. Of course also force them to pay more money. If Google can outsource all of this to some good lawyers, and keep the management focused on building out the data centers, improving applications, improving search, fixing the offline problem, etc, they will be able take advantage of MS and Yahoo being in disarray during the prolonged and embarrassing purchase, and finally the prolonged and embarrassing switchover to Windows at Yahoo. All of that will let Google build bigger leads in key areas.
