Yes, it would be a monopoly.
How in the world (even in the fantasy worlds of broadcasting and politics) can they expect people to believe that such a merger wouldn't be a monopoly? Yes, one can argue that satellite radio competes with terrestrial radio, but that doesn't mean that it is an equivalent medium. Satellite broadcasting has a vast technological advantage - nationwide coverage - over local terrestrial broadcasting. I can listen to satellite radio uninterrupted from one coast to the other. Terrestrial radio, on the other hand, covers only limited areas. Although these two media do compete with each other in the broadcasting-audio-programming-to-a-potentially-mobile-receiver market, what in the name of Nikola Tesla does this have to do with MP3 players, except that they are all portable forms of audio entertainment. A message for the numbskulls: MP3 players are NOT broadcast receivers.
They might as well argue that humming a happy tune and whistling Dixie out of one's nether regions are competitive forms of audio entertainment.
