There was many different options.
I would pick the one that stated computers sold = the number of licenses. To go with exclusivity is putting all your eggs in one basket. It is now illegal for MS to offer it.

OEMs went with exclusivity to save a few percent on the licenses. You cannot charge more for a license and expect everyone to upgrade to it. They would stay where they are. MS had to throw something in on the deal. They were locking out the competition this way. It isn't allowed if you are a monopoly.

Ms doesn't want to put an OEM out of business either by go with your statement of agree to it or go out of business. Lots of sales of licenses would be lost. You have it wrong.
