Microsoft gains from a deal with AOL, Google doesn't.
Though Google has entered Instant messaging, for example, Microsoft has been providing IM for a comparatively long time.
The company is leveraging familiarity with the home product to make IM a business feature. That doesn't mean sales of a separate product necessarily, but another reason to buy an inclusive product.
If Microsoft can make a deal giving MSN access to AIM subscribers, they've expanded an useful market.

The significance of AOL's use of IE has been remarked, even by the Courts.

If Microsoft can make a deal for AOL using MSN search, the gain in market share and hence credibility will be substantial.

So Microsoft can gain from a deal with (though not a purchase of) AOL.
