They are also competing for talent.
Both companies want the best people. Google has high valuations now, something that is past for Microsoft (they are already established but won't make any new millionares). Google has just gotten one of the biggest names in TCP/IP (which is used by almost everything sans some legacy stuff).

Apparently upper management at Microsoft does not share your views. Perhaps you should enlighten them. I won't make a call on who will win in anything on this, though.
