I don't know all the details of this agreement, but it may be that Microsoft claims it owns FAT and FAT32. It could be that Novell signed the agreement to avoid a lawsuit and is paying pre-arranged royalties. Microsoft has made several patent claims against Linux and other open source tools (like OpenOffice) it has chosen not to pursue.

SUSE is very popular in Europe where M$oft keeps running into legal problems. And, SUSE is supported by a major vendor and hence, in theory, more stable. The deal makes sense for both companies.
