Why did Sun investors...
... make defense against takeover their main issue with Sun management? Do they consider a takeover offer a reasonable possibility?

As usual, the explanation given for large payouts to current management in a failing company is... making sure the executives stay.
They don't bother to explain how another bunch could do worse. But they do appeal for sympathy because their stock options are under water. They're appealing for sympathy to people who have paid money for the stock current management has been unable to improve.

And they call the ivory tower unrealistic; try the corner offices.
