I think a quick look at either the PHP5 or ZEND websites gives an idea of why IBM are interested in Zend. The intention of Zend appears to be to move PHP towards greater support for and inteoperatibility with Java. There have been numerous posts from PHP developers complaining that this is the problem that PHP has inherited by depending on a commercial source for support (Zend) and that the direction towards Java is an unnecessary complication to, what should be, a simple scripting language that is easy to use and deploy.
If IBM can produce a rapid scripting development tool for PHP that also encompasses Java inclusion then it satisfies all needs, Zend for its ZendStudio products, PHP scripting support (whether using Java calls or not) and development for PHP5 and IBM's own WebSphere group of products.
Seems sensible to me - my 2 cents.
