Once PS got rid of Conway, and then came out that the argument was only about price - Oracle had won the battle.

What PS had to worry about was Oracle taking a walk away from the table - that would have crashed the PS stock price - leaving Oracle able to come in on the cheap and plunder what was left of PS. The 'premium' per share price is less probably what Oracle would have had to spend to continue the farce in court and a proxy fight which would also have led to another court battle.
