I don't think that many Novell shops will bite
What this boils down to is an "off the mark" shot to slow down Linux; not really an attempt to gain Novell customers. They had plenty of opportunity to do that; but they waited too long and now Novell is pretty solid financially (actually they always were solid, but now the stock market also thinks so).

Microsoft, in my opinion, never respected Novell or their customers and took an attitude of "they will eventually have to switch to Microsoft at some point because they will have no choice". They were anticipating Novell's demise in the server NOS market because of seemingly changing to a consulting firm. But that turned out to not be the case and it was confirmed when they purchased Suse.

Now they offer "incentive" to move to Microsoft. But I think there will not be many takers since it is cheaper to stay with NetWare, and eventually Linux. The short term savings will not offset the long term expenses, even with staff retraining. People will take this into consideration and I think they will pass at the offer; unless there is some other compelling reasons to go with Microsoft.
