XP w/SP2
What I have seen so far is that the replacement packages have the SP2 CD included in the retail package with a notation on the outside of the box to that effect. So it looks like what they have done is to add some print to the box and dropped another CD into the pack, which is handy if one does not have a high-speed internet connection and you want to upgrade to the only OS that MS still actively supports.
