Absolutely correct.
You are right, Oracle may drop their offering price depending upon stock prices. Or they may even walk away from it. Hard to say at this point.

But the fact is PeopleSoft managers need to be VERY CAREFUL about opposing the stockholders. OWNERS tend to get a wee bit peeved at such things and have been known to sue the pants off management when they don't listen.

As you said, a public stock is there for anyone to buy up...
