The company made the change on the recomendation of the Auditors (lets see, this was going on for 3 years before the recomendation, unlikely). More likly, the recomendation was made a few years before and was ignored. My guess, CFO got fired, for not implementing the SEC recomendations, new guy comes in and figures that it is best to implement the recomendation, lest he gets canned. SEC writes a letter and tells them that it is potentially a bad thing to make the changes at this time, meanwhile the CEO already had plans to bow out. Investors taking it in the backside as you put it was a result of the investor speculation. If you don't think so, I suggest that you look at the historical quotes.
