I've never seen a EULA come up for spyware. Take Gator for example. It just installs by you clicking on web link to view a site. No EULA or anything. The EULA is there after it's installed for you to read how ever but it doesn't give you a chance to agree or disagree to it so I think it's not valid. Even Microsoft's EULA may not stand up in court if challenged.
