Microsoft gains and Oracles loses if this proposal becomes true.
The way to beat Microsoft in the enterprise market is to create barriers around any Microsoft attempt through Windows desktop monopoly to connect to back-end legacy systems from IBM, Oracle, Sun, etcetera... Without any bridge to legacy systems, Microsoft is stuck in gear one on the server market.

Oracle should not give Microsoft free access to its Oracle systems. By doing so, it will encourage ITs to stick with Windows servers and desktops (indirectly helping MS SQL Server). Oracle should charge a hefty per machine price for Microsoft or Microsoft's customers to connect to Oracle's systems to discourage ITs from using Windows servers instead of Linux servers. Why would Oracle wants to help a monopoly fortify its competitive position?

Microsoft, knowing that the Bush DOJ will lose sooner or later anyway the lawsuit to block Oracle from merging with PeopleSoft, wants to fool Oracle to open up Oracle systems to Microsoft in exchange for the monopoly's promise to drop its opposition to the merge and to order the Bush DOJ to drop the lawsuit. Wow, very slicky move.

Anyway, what Oracle can do is just ignore Microsoft because the Bush DOJ will lose the case. Alternatively, Oracle should join the Microsoft developer program and then after the merge is accomplished, ditch the Microsoft developer program and take Microsoft back to square one. Hey, it is like the tricky dicky game Microsoft played with its competitors in the past but this time it will be Microsoft itself being the victim.
