Hypothesis
Here maybe part of the deal:

1st: "Several of the files that come with Word '97 (and perhaps with later versions as well) still contain the text "Copyright WordPerfect Corporation 1994. All rights reserved."
This comes from the following web page:

It wouldn't be hard to imagine that this was part of the deal you are speaking of. MS could have been sought by Novell to pay for the use of WordPerfect files with MS Word. And as a result, MS sold Xenix to SCO.

2nd: With the purchase of Unix in 1993, it is possible that Novell sought $$$ from MS for further licensing use of Unix. According to the histories below, MS licensed Unix from AT&T. Named their product Xenix. MS brought SCO in to further Xenix. IBM licensed Xenix from MS.
What a tangled web Unix is! Seems everybody had their "hands" in Unix System 3 through Unix V.7.
