Not really...
Think about it, there are already 64-bit CPUs out there (AMD & Intel) and there is no real price difference. Well, it's a small difference. For the average new computer buyer it will make no real difference to him/her.

As for the upgrade path? MS has never really seen a huge market in upgrades, at least not when compared to selling through the OEMs and corporate users. This isn't to say Longhorn won't run on faster Pentium 4 type machines because it does, it just isn't the blinding fast speeds MS wants to see with Longhorn.

Look at it this way, the vast majority of PCs die with the same OS it had when the OEM installed it. Even MS admits it's toughest "competition" is older versions of Windows, people just don't upgrade if it is doing all they want it to. The plan here is present such a compelling system with both Longhorn and the next generation of PCs that users jump on board and replace their systems.
