US citizens not only pay taxes in the countries in which they earn; if we earn over a specified amount we need to pay US federal taxes as well. The US patents laws make no attempt to enforce themselves on other nations (although any trade agreement with the USA would contain various clauses dealing with US patents). This is a peculiar problem which arises when a US company seeks to violate another US company's patent by producing and selling a patented product in a foreign state which does not give the same patent protection. If the head office is in the USA then the company can be sued - but if the US company is only a local manufacturer and distributor with no (direct) influence on the foreign operations, good luck hauling them to court. So will US companies move the HQ overseas? If the managers believe it will be profitable, then absolutely - but remember that it is not because of bad laws but because the company chooses to evade laws by taking advantage of the limitations of US jurisdiction. These are the sorts of problems which trade agreement clauses attempt to address (but the wording of those do appear to ensure that the US can enforce its patents on other nations - however, this is not US law but trade policy).
