The 'upgrade version' compared to the 'full version' is a licensing issue only. The actual software is the same. They give you a break on the price because you already own a version of the program. The old library files and executables are all replaced in the installation.

You can, in fact, install the 'upgrade version' on an empty hard drive. The install program will ask for the install CD from a qualifying previous version to verify that you qualify for the reduced price license. Then the installation continues normally. If you have a computer like some HP and Compaq systems that do not come with a real Windows CD, just a 'System Restore' disk, then you have a problem and likely won't be able to do a clean install. It's one of the trade-offs for that low price! If that is the case, borrow a friend's Windows 98/ME/2000/XP CD and do your install.
