Microsoft does not do Unix, so Sun has nothing for them with Solaris.
Microsoft works on cheaper hardware, so Sun has nothing for them there either.

That leaves Java. You remember, what Sun has twice sued Microsoft about.

Use XML as a model. Microsoft agrees to play well with everyone. But they add something that makes XML better, limited to Microsoft.

Think Sun will sue Microsoft this time if they improve Java? Think making Java interchangeable with .Net won't encourage the 3 million Java developers to look at what .Net has for them? Think Microsoft's tools won't be easy to use and incorporate Microsoft's advanced features?

Think Microsoft wasn't worried that if Sun went down IBM wouldn't grab Java the way they've bought Linux?
IBM doesn't have to have ownership papers to exercise control.

Microsoft wanted to buy what they can use from Sun and keep Sun afloat to restrain IBM. Guess that's worth a couple of $ billion.
