Xunil: According to the usual account...
IBM hired MS because they had only recently had their antitrust case settled and they were afraid of what the DOJ might do to them if they didn't outsource a lot of the work on the IBM PC; so they hired MS to provide the OS (which they, in turn, bought from somebody else) and Intel to provide the CPUs.

IBM had already developed several mainframe operating systems. They were quite capable of writing their own microcomputer OS, I'm sure.
