We don'y define UNIX(TM), the Open Group does
Any operating system, regardless of what base source code it is built from is UNIX if it conforms to the Single Unix Specification. This can be determined by testing it with tools available from The Open Group.

If you want your OS to be CERTIFIED, then you need to submit the results of the tests to The Open Group so that they can evaluate the results and issue certification. Some examples of UNIX(TM) are Solaris, HPUX, Compaq Tru64 Unix, ISC Interactive Unix 386 (purchased and discontinued by Sun in the 80s but still in use in some shops), AIX, SCO/Caldera/SCOG Unixware, Fujutsu/Siemens Reliant Unix, OS/390 V2R4 or later with: OS/390 V2R4 or later Security Server and OS/390 V2R4 or later C/C++ Compiler on IBM System/390 Processors that support OS/390 Version 2 Release 4 or later, NCR UNIX System V Release 4, NEC UX/4800.

There are other OSs that, are UNIX but have not been certified, Unix-like and not certifiable such as Minix or Coherent, and non-Unix things like Plan 9 which resembles but is DEFINITELY NOT UNIX (and treating it like Unix will only confuse you if you try to use it as if it were) and Qnx that is a real-time OS with many unix-like tools. I have seen speculation that Linux would pass Unix certification but there seems to be no plans by anyone to confirm or deny this.

The above lists are not all-inclusive, your Unix-reality may vary.
