IBM and Microsoft did jointly develop a common OS platform, at the time a deep rift developped between the two on the directions to take development. IBM and MS split at that point. IBM went on to finish and market OS/2. MS went on to finish and market NT. Both based on the same core.
I believe both companies had equal rights on the core. But both companies could also independently develop from the common core.

If IBM open sourced OS/2 (which in my opinion would be a great move), MS would bring them to court and fight like the devil swimming in holy water to prevent this from happening.
In essence, open sourcing OS/2 would open the core codebase for NT and thus 2000 et al.

Now wouldn't THAT be the kicker!
