Novell can waive enforcement
In the original transfer agreement Novell reserved the right to waive any enforcement. Thus it costs Novell nothing to provide protection from SCO, all they have to do is point to the line in the agreement and say NO, BAD DOG to SCO.

So far SCO has failed to do this WRT to IBM and is thus in serious jeopardy of being in violation of the contract.
