My two cents...
I?ve done fresh installs of XP on PCs as slow as 233MHz with satisfactory results. It did have 384MB of RAM though. My brother installed XP on his 700MHz P3 with 512MB RAM and is pleased with the performance. It seems that RAM is the important factor.

I say if you?re okay with the performance of Win98 on your current box then max out the RAM (PC100/133 is pretty cheap) and buy the $98 upgrade. I?d do a fresh install though and not an upgrade of the standing system. Unless the peripheral devices are over 4 years old or odd in some way you probably won?t have any problem that can?t be worked with ease.
