Good people run good companies
The law cannot make a company run ethically, only legally. Many of these post-Enron compliance mechanisms only offer accounting compliance. In this case it looks like it did just that -- everyone knew they spent $x as an "expenditure" -- but they don't have to tell investors it was a bribe.

Ethical people run ethical businesses, and there will never be a law that can force people to do this.

I hope Congress realizes that Sarbox et. al. are largely failures that aren't worth the effort businesses need to put forth to ensure "compliance."
