VMware IPO - Its the people
I think the rationale is much simplier - XenSource and all the other startup comapanies in the virtualization and virtualization management space are able to give their employees equity and hence significant upside.

VMare has lost some key people to these players because it has not had any real upside to offer them - EMC stock has not performed well enough to be a real incentive - hence the new stock.

It also gives them more flexibility and power in acquisitions - which are clearly where they are focusing their efforts.
