I agree that MS should walk away from Yahoo, even if Carl Icahn offers it to them on a golden platter. It's not worth the digestion or the money contemplated. $40 billion or even $20 billion of MS' money would be much better reinvested in MS, then invested in Yahoo. Besides, it would serve Icahn right to be forced to run a business that would not be profitable to dismantle or milk to death.

That said, if MS is going to compete with Google in the search space, they either have to do what Google does a lot better than Google does it (difficult) or they have to do something that Google doesn't do that would provide sufficient reason to use MS' offering either in addition to or instead of Google. Simply imitating Google won't do much.
