I think Icahn's acting on his own
If he pulls it off, he makes a big profit, wins allies for future raids among Yahoo stockholders (since they make big profits too), and wins a stake in MS (remember that they were offering a stock swap). He might even win a seat on MS' board as a thank you.

Now it's possible that Gates and Ballmer were anticipating just that, in which case, all they had to do was to walk away.
