Conspiracy Theory from my side
Ok lets throw in some conspiracy theory. What if this was the plan all along. Would it not make sense for MS to let Carl Icahn do all the dirty work? Can they have not approached him and when he said yes, they walk away from the offer? Throughout the period this dirty war is fought between Carl Icahn and Yahoo MS sits on the side. Employees are not distracted and they do not encourage the big bad monopoly flame. Somehow if MS is able to buy Yahoo from Carl Icahn at a lower rate, it would be a perfect win for MS.

And Mary as much as I respect your opinion I do not buy the notion that Ballmer came to realize the problems of integration and unwillingness of Yahoo employees to merge only after he had mounted the bid. They have enough good people there to figure out that these challenges are going to present themselves.
