Microsoft would NEVER spin them off. A wholly owned subsidiary YES
MS still wants to be able to convert all of the servers to Windows, and make sure that they do what Microsoft wants in the war against open source. MS WILL maintain control of whatever monsters they buy and slam together with MSN.
