... is shelling out considerably more than $40 million.

If they can "agree to disagree" over the patent issue so easily then that is obviously not that central to the deal. If it was core item I would expect considerably more rancour.

I'm coming to the opinion that this might be more about anti-trust. Novell pays to have server licences distributed and Microsoft pays Novell an amount which is "peanuts" compared to the EU fines it faces for non-interoperability.

The FUD issue is just an additional "nice to have" for Microsoft.
