Content
Unless you're including content in your definition of an advertising platform, you've left out a most important factor. People look at ads because of what else is on the page. And that other material has to be located and purchased profitably.

Yahoo has been successful in obtaining content and retaining a significant number of interested people. For that matter, so has AOL. If either company could be obtained at a reasonable price, it's possible for Microsoft to gain sufficient advertising revenue to make the purchase profitable.

I suspect neither Yahoo nor AOL will accept a price low enough for the deal to work for Microsoft, but the current stock prices are low enough that executives in want of a bonus may make a deal for the golden parachute premium. As an example, think Gillette.

Sometimes software is only a means, not an end. As the new individual in finance who first suggested the Yahoo acquisition knows well.
