Microsoft has MSN...
... which already shows a commitment to content. Yahoo! may not be a very successful software company, but under Mr. Semel it did do content well.

If Microsoft moves its content assets to its Yahoo subsidiary and provides software in return, then the company has gained.

Search, content, and sociability are the three ways to gain eyes for advertising. (Some would add applications to the list, but I won't.) Yahoo can help Microsoft with each.

And advertising is income facilitated by software. That makes it Microsoft's business, along with every other software use. Don't underestimate the company's confidence in its own versatility about software, though not content.
