DELL can and will walk away with no penalties
It is a very common story, but never visible to the taxpayers: companies get big tax breaks and seed money to locate in a particular area, then walk out of the deal the moment something changes or they lose a little money. There are enough weasel-words in these contracts that the companies can walk away, and the taxpayers are left holding the bag.

What can a city council do? Sue in court, but it takes big legal resources and years or decades for a case to come to trial. Most of the time, the elected officials have changed by then, and the incoming ones find it easy to blame the losers and cut the losses.

It is a lose-lose situation to go to court: it reminds the constituents that a bad deal was made (even if it was by the previous administration) and if they lose in court then the failure is blamed on the new people, not the old ones who made the bad deal.
