Correct me if I'm wrong
From what I understand, MS has zero power over Yahoo stockholders. MS made an offer, the board rejected it, and some major stockholders believe the board made a mistake. To say MS and Icahn are "ganging up" is ridiculous because MS has no power at Yahoo. This is Icahn's doing and all MS is saying is that it if Icahn can convince the shareholders to boot the board, then MS will put its offer back on the table. This is how public companies work. If you don't like it, don't become a public company. Yahoo's board is using shareholder money to fund Yahoo so it only makes sense that the shareholders should have a say.

PS I still think this is a bad merger for MS but I seriously question why people are saying that MS is strongarming anyone into doing anything that goes against the wish of the shareholders.
