The IP owners have EVERY right to decide what to do with thier property and how it may or may not be distributed. If they place restrictions on the use of THEIR PROPERTY, that is their right. You suggest that the hardware/software folks are afraid of a legal suit, I would say the bigger problem is they will be denied access to the IP owners property. Which of course is true and as it should be.
If I made a product and signed up distributors, I would be the one to decide how that distribution will work. Any distributor that disagrees is free to find someone elses product to distribute.
