Malware Writters Will Just Sign The Code
It does nothing for the security of the system if anyone can sign the code. You know that Gator's code will be signed as will every other's spyware/adware program from a commercial vendor.

The Tpm requirements will effect mostly freeware and Free Software writers- signing the code will not be free and they will thus have to pay a MS tax on their code.
