Theft as defined by the law involves the unlawful removal of physical objects of real or potential value... So in Wal-Mart's case they would be correct in nabbing you for shoplifting because you took something physical (not the music, mind you, but the physical means of "owning" it).

Downloading and uploading does not involved unlawful transfer of PHYSICAL items, only digital renderings of same which leave the original intact at some point in the chain. There is no loss of real property, only the alleged loss of profit from distribution of a digital rendering of an already-purchased physical container of said rendering.
