What makes it a BSD....
... is that it was developed from source code adapted from SysV by the students and faculty of U.C. Berkeley under an educational license agreement and distributed by them for general availabilty and use by others.

Darwin is considered a BSD because it is developed from FreeBSD code. It is not identical to OS X because Apple has implemented proprietary code that runs on top of it to make the user interface and userland extensions that make it so user friendly.
