How does the security firm know ...
who is running the software or if a warrant has been legally issued?

Even if the government creates their own software, eventually copies of that software are likely to fall into the wrong hands (especially since the software will be used by the government on "wrong hands'" machines). How is a security company supposed to know if the keylogger or other spyware is being run "legitimately" or not?

Realistically, they can't.
