There seems to be a financial misunderstanding here, or perhaps simple
ignorance. If a company backdates stock options to guarantee the option recipient
a better profit on the exercise of the options, it has no effect on the company's
customers. None.

Stockholders (or more likely, class-action lawyers) could claim their minute share
of the company was diluted by the relatively tiny impact of such transactions. That
is, the number of shares claimed by the stock option would be sold to the
employee for less money than otherwise. In most cases, the result is financially
inconsequential, but the act is nevertheless wrong. As usual, legislators and
regulators feel they must show how tough they are, and they always overreact,
causing considerable expense for many or all companies, because of the stupid
actions of a few.
